They are the same. I also found "sources.list.distUpgrade" which is a third replica (I compared the 3 files using diff).
"/etc/apt/sources.list.d/" contains other source lists, do you need to see them?

Bug description:
  Binary package hint: update-manager

  I get this error when I try to upgrade my distro. I have tried many
  different solutions, but none worked out for me.

  $ lsb_release -rd
  Description:	Ubuntu 10.10
  Release:	10.10

  $ apt-cache policy update-manager
  update-manager:
