I have 11.10 32bits on my netbook, but i get the SAME error.

I try clean apt cache, remove all upgrade folders of /tmp etc... WITHOUT
success

The solution is: 
mount -o remount exec /tmp

Now upgrade to 12.04 with "update-manager" work perfect!

  I am on Ubuntu11.10 64bit updated to 28.3.2012.

  I have runned "update-manager -d" for distribution update to
  Ubuntu12.04.

  Due to a low wireless internetconnection, I have aborted the download
  of the 12.04files.

  With this update-manager crashed.
