You seem to be missing some minimal packages including at least console-
setup. Please try installing them on your 12.04 system and see if that
resolves the issue.  Thanks and good luck.

Status in “update-manager” package in Ubuntu:
  Incomplete

Bug description:
  update-manager -d give error below while upgrading 12.04 to 14.04:

  Could not calculate the upgrade

  An unresolvable problem occurred while calculating the upgrade.

   This can be caused by:
   * Upgrading to a pre-release version of Ubuntu
   * Running the current pre-release version of Ubuntu
   * Unofficial software packages not provided by Ubuntu

  I checked listed reasons above.
