Going to continue dist-upgrade anyways...
Hopefully if will work this time, if not, I will come back later from another distribution - Ubuntu - residing on the primary hard drive and coexisting peacefully with Win XP Pro, selectable from BIOS...

Status in “update-manager” package in Ubuntu:
  New

Bug description:
  While upgrading to the latest version - Kubuntu 12.04 - the window
  Distribution Upgrade came back with the error message  mentioned in
  the summary. A previous attempt about a month ago was unsuccessful and
  messed up the kernel, so I had to start from crash from the official
  Kubuntu CD... I will go on and continue with the upgrading to see what
  will happen this time. As I am becoming more familiar with the Linux
  commands, I will try and install this package manually if possible or
  if absolutely necessary. Stay tuned...
