I don't think it's correct to describe this as an upgrade failure. The
conffile prompt is a bug and should be reported / fixed, but upgrade
tests ought to be running with a dpkg option such as --force-confnew, so
that conffile prompts don't block running the rest of the upgrade and
finding other bugs.
This is likely related to the recent changes for UTC handling in
/etc/default/rcS. Assigning to Martin.

We're running daily tests upgrading cloud images to xenial. The basic wily images started failing to install initscripts as part of the upgrade on February 12 in qemu. Trusty images are showing the same issue, where the relevant parts of the output are:

Installing new version of config file /etc/init.d/ondemand ...

The default action is to keep your current version.

The issues does not appear to occur during lxc upgrades, only qemu.
