This is also connected with bug 12194 and with ACPI subsystem.
I have very similar problem on my ASUS M6823NeB.
I've already upgraded bios to the newest version (0208) but it only
fixed some old acpi issues with asus acpi implementation.
I'm pretty sure this is connected with ACPI since just before it powers down it
spits out some ACPI messages on the screen. I menaged to boot the machine in the
recovery mode by disabling eth0 setup in /etc/network/interfaces.
I've even menaged to run X on the machine, it started ok. But, as soon as I did
ifup eth0 (tg3 driver in my case) and in fired up the dhcp process and got some
data it spit out some ACPI kernel messages and shot down. I would be happy to do
some further
testing but I run out of ideas... (pci=noacpi does not help).
