Exactly the same problem (kernel panic, VFS, on boot) on my server and my laptop
when I upgraded my kernel from 2.6.10-34.5 to 2.6.10-34.6 (in Hoary - i386).
Nasty problem especially in a stable version of Ubuntu :(
