+ After upgrading from 9.04 to 9.10 in december 2009 my system rebooted with this error. I am still able to use the
  2.6.28-17-generic kernel.

Recently I inserted the 9.10 amd64 livecd and attempted to boot and
  received the same error.

The error message reads: "Kernel panic - not syncing: Out of memory and
  no killable processes".

It occurs on boot extremely early in the boot process (approx 6 seconds
  in).

This machine was previously running 9.04 without problems.

  It has been reported here:
  http://ubuntuforums.org/showthread.php?t=1364792
  http://ubuntuforums.org/showthread.php?t=1423047

+ edit to add: Please note that the attached information & diagnostics
+ pertain to the system as booting with the 2.6.28-17-generic kernel as I
+ cannot boot 2.6.31.
