Okay, now I'm a little perplexed:  The 10.04-desktop LiveCD booted first go with the serial console attached (extra kernel options: console=ttyS0,115200n8).  Everything appeared okay except the machine didn't actually power itself off.
My guess (based on not enough experimentation) is that having the serial console attached made enough difference to avoid the kernel panic. (I've run out of time today or I'd try this out some more.)
