Problems with 14.04 upgrade...

I upgraded my AMD64 3200 based desktop last night from 13.10 to 14.04 and have run into a couple issues - one of which is a show stopper.
I'm just starting to diagose what is going on, so right now looking for things to look for and if anyone else has seen it - some google searches haven't revealed anything yet.

As I've had some issues with Muon updater showing up in my primary user account; I logged out of KDE and switched over to a console (CTRL+ALT+1).
I first ensured everything was up-to-date:

# apt-get update
# apt-get upgrade

So 13.10 was fully up-to-date.
Then I did a dist-upgrade:

# apt-get dist-upgrade

This upgraded a couple more packages, but still on 14.04. Then I remembered about "do_release_upgrade" and ran that:

# do_release_upgrade

This disabled a couple extra repositories (namely pipelight for Netflix), downloaded about 1GB of files, and did the install.
Everything seemed to go perfectly well. I did not try to go back to KDE at this point, but rebooted instead.
This revealed two issues:

1.     At boot I get the following:

error:malformed file
press any key to continue...

Pressing a key the system starts but runs into issue #2; I can, however, switch to a console and login just fine.
So I figured this first issue was a grub issue and re-ran the grub install to MBR on the appropriate drive:

# grub-install /dev/sdb

However that has not resolved it and I haven't seen anything fixing it. I did come across others reporting the same thing:
http://ubuntuforums.org/showthread.php?t=2215960

Most seem to refer to a USB install or something; but this is on upgrade. The system ran just fine prior to the upgrade.
We've seen shutting it off nightly due to the location of system, so I know this is a brand-new error.

2. When bototing up, it never gets past plymouthd. The system just sits there. If I press ESCape, then I can see the list of "OK"/*failed";
there's a couple things that fail (don't have the exact list off hand) but I can see that it keeps trying to come up, but after each service
is started, it is almost immediately stopped; sometimes a few things get up before things are shutoff; but it never really finishes booting.

As I noted earlier, I can go to a console (CTRL+ALT+F1) and I have access without an issue.

The system does have an nVidia graphics card, but I believe we are now using the open source nouveau drive instead of the proprietary driver.

#1 I can kind of live with - I do want it fixed - but #2 makes the system unusable for anything but console work.

Has anyone seen these? Know solutions? Anything in particular to look for?

TIA,

Ben
