[Ubuntu-PH] CD dist upgrade

Hi guys,
I have a question: I have a feisty fawn machine which I want to upgrade to a
gutsy one. I prefer not to wait for a 2GB+ download just to do the update,
though my Internet connection is fairly fast.
I want to upgrade my feisty into a gutsy using a gutsy CD I have. Though the
CD is already in my sources.lst, is that enough assurance that my system
won't download the 2GB+ of software? Because when I run the upgrade program,
the program tells me that I'll need to download 2GB+ of software still, etc
etc.
Shouldn't it be less than 2GB already since I have a CD of gutsy?
