I used the same iso image for quad-core Xeon servers and it installed just
fine as a LAMP server and it is 64-bit as shown by uname -m. The Ubuntu
site confirms that iso is for IBMs as well as AMDs.
Did you check the integrity of your burned CD? There's an option for that.

Core Duo Xeons are not (as far as I know) *true* 64-bit processors.
They can pretend to do 64-bit, but not *be* 64-bit.
Try with the 32-bit CD image.
