If you plan to serve files through cifs shares, then the additional
server has to run samba. Unless you are planning to use other ways to
share the storage but want to keep the same UIDs/GIDs.

What filesystem are you using on /?
What problems are you having with LDAP? Are you storing password for the
ldap server properly in samba? Which version of samba is this about?
