Because Microsoft is the copyright owner and they are authirized to give 
you a new copy of their software. If I understand the copyright law of 
my country correctly, I am not allowed to give away a copy of any 
version of Windows even if I have a legal copy of the software. I 
suppose, copyright laws in most countries are very similar in this 
regard. If you don't know what the copyright law in your country allows 
you to do, hire a lawyer.
