aha, so your NFS root lives shared underneath the tftp dir, thats good
and saves you from having to copy anything ...

what does:

ls -l /tftpboot/ubu1204i386_diskless/boot/

return ? 
... also your pxelinux.cfg/default file would be interesting to see ...
