At least over here in Germany, you may legally use an OEM version for this.

more precisely, you will need to provide what the guest OS needs, when 
running on "bare metal" (so 384MB to 512MB for XP will do). 
Additionally, you will need to add what your Linux host base needs. In 
my experience this can be at least 128MB to 256MB, if you will use the 
guest OS exclusively, or more, if you will use both OSses simultaneously.
