Title:
Upgrade from 10.04LTS to 12.04LTS fails

Status in update-manager package in Ubuntu:
  Invalid

Bug description:
I have removed all 3rd party sources from the apt sources.list and from the synaptic package manager.
there is 1 package installed on the system that came from other sources
VMWare Player 3.1.3 build-324285 Which I don't think is causing the issue

I get the following output in the console
  when I run update-manager -d
  authenticate 'precise.tar.gz' against 'precise.tar.gz.gpg'
  extracting 'precise.tar.gz'
WARNING: Failed to read mirror file
WARNING: Failed to read mirror file

then I get a window popup that has
An unresolvable problem occurred while calculating the upgrade:
E:Unable to correct problems, you have held broken packages.

   This can be caused by:
   * Upgrading to a pre-release version of Ubuntu
   * Running the current pre-release version of Ubuntu
   * Unofficial software packages not provided by Ubuntu

If none of this applies, then please report this bug against the
'update-manager' package and include the files in
  /var/log/dist-upgrade/ in the bug report.

  If I try do-release-upgrade

  I get the following output
  do-release-upgrade
Checking for a new ubuntu release
  Done Upgrade tool signature
  Done Upgrade tool
  Done downloading
  authenticate 'precise.tar.gz' against 'precise.tar.gz.gpg'
  extracting 'precise.tar.gz'
  [screen is terminating]
