In that case, disable the Sound Menu integration, application indicator, and
notification area extensions, and you'll get the behaviour that you want.

Status in “banshee” package in Ubuntu:

Bug description:
  Binary package hint: banshee

  There is no real or proper way to shut down (terminate, completely close) Banshee.
  I tried the close button, ALT+F4, Ctrl+w, etc... even through the indicator applet, there is no way to do this.
